By-laws of Middle Georgia Bikers, LLC
Article I Offices
The registered office and registered agent of Middle Georgia
Bikers LLC (hereafter known as MGB) will continue as fixed in
the Articles of Incorporation until changed by the Board of
Directors. The Board of Directors may, from time to time,
change the registered office of the corporation to another
address in the County of Laurens or elsewhere in the State of
Georgia.
Article II Purpose
MGB is a group of motorcyclists who fellowship with one another
and while so doing show the love of Christ. MGB holds
charitable events and raises money to help those in need as well
as helping other organizations established for charitable
purposes. Those chosen to be helped will not be discriminated
against in any way. The mission statement of MGB is “Reaching
Out” exemplified in the parable in Matthew 25:35-46.
Article III Capital Stock
The corporation will have no stock and no shareholders. No
directors or other individuals will have any interest in the net
earnings or net income of the corporation. No dividends or
returns of any character, or any part of the assets of the
corporation will ever be returned to any incorporates or to any
directors.
Article IV Meeting
The corporation will meet on the 2nd Thursday of each
month. There will be a group participation ride on Saturday
following the Thursday evening meeting. A freewill love
offering will be given prior to the ride to help someone in
need. The group will then ride to a designated location for
lunch and fellowship.
There will also be a fellowship ride on the 3rd
Sunday of each month after church mainly for those who have to
work on Saturday. Anyone can ride, but this will allow those
who work on Saturdays to participate without missing church.
There will be an officers meeting each month prior to the
regular meeting.
Annual MGB Event
There will be one large event held each year to raise money; the
amount raised will be presented to an established charity. The
officers are responsible for organizing the event and will
appoint others to assist with all aspects of this annual
fundraiser. The full membership will discuss who the recipient
should be, but the final decision will be made by the current
officers.
Membership
Membership is open to anyone who complies with the following
guidelines:
1.
Strive to live and walk the Christian life style Christ
expects of us. Be an ambassador for Christ at all times in all
ways to all people. Walk the walk; talk the talk.
2.
Support at least three (3) Saturday group rides out of
the past nine (9) months to help others in need. This support
can be in attendance or monetary gifts.
3.
Sign a membership roster providing contact information.
Vote
Each member attending the monthly meeting will be entitled to
cast one (1) vote. The following will be followed when voting:
1.
Only members can vote.
2.
Only members can make motions or second motions.
3.
Only members can discuss items to be voted upon.
4.
The Executive Director, who must be a member, will only
be allowed to vote in the occurrence of a tie.
5.
All votes will be taken by a show of hands except during
nominations and election of officers. Nominations and elections
will be processed by secret ballot. Persons being considered
for nominations must be present at the time of nomination.
6.
Nominations will be held each year during the November
meeting; the election of officers will be voted on during the
December meeting.
Article V Board of Directors
The Board of Directors will be composed of the officers of the
corporation.
Officers
The MGB officers are the following: President, Vice-President,
Secretary, Treasurer, Chaplain, Road Captain, and Executive
Director. Officers of MGB may serve consecutive terms (each
term of office consist of one year with the exception of the
Executive Director; each term extends from January to December
of each year). If the President resigns, the Vice President
assumes those duties until the next election is held. All
officers must be members of MGB and have participated in the
last annual event. All officers must be active members of a
church and profess salvation. Don Belflower, the founder and
organizer of Middle Georgia Bikers, will serve as the first
Executive Director. The Executive Director will serve until
he/she appoints a successor. If the Executive Director is
unable or unwilling to appoint a successor, the membership will
vote by secret ballot.
Duties of Officers
President
- preside at all meetings; make sure the rules and integrity of
MGB are upheld at all times by all members.
Vice President
- assist the President in his/her duties; assume the duties of
the President in his/her absence.
Secretary
-
record minutes of all meetings; perform other duties assigned by
the Board; assist in compilation and printing of the newsletter
as well as processing all correspondence.
Treasurer
-
receive and deposit all money of MGB in a local bank; pay all
debts of MGB; remit payments to designated charities upon the
Board’s direction; submit financial reports to the Board as
needed.
Chaplain
- prepare and present a devotional at each meeting; take prayer
requests; pray for all needs; select one member of MGB as
Co-Chaplain to assist him/her in all duties.
Road Captain
– ready and willing to lead all bikers on all group
participation rides; determines the chosen routes and designated
stops; ensure all highway laws are followed and obeyed; select
two members as Co-Road Captains to assist him/her in all
aspects.
Executive Director
- oversee all operations of MGB; ensure our mission is being
accomplished; serve in an advisory role; vote only in the
occurrence of a tie. |
